PREAMBLE


Bii Group SARL operates an Application called "TELOFIB" for smartphone or tablet offering sharing economy services, which allows any user to monetize their calls.

TELOFIB (owned by Bii Group)has two types of users, individuals and businesses. All are subject to two usage profiles: the standard profile and the VIP profile.


The Application is available on the App Store and on the Play Store, which require the use of the User's own connection details for these services, and is accessible to any User with Internet access via the through their smartphone or tablet.


The purpose of these General Terms and Conditions of Use (the “T&Cs”) is to define the conditions of our service offer (the “Service(s)”).

The use of the Application and our Services is subject to the unreserved acceptance of our T&Cs and ourPrivacy Policy, available on our website (https://www.telofib.com/), and scrupulous respect for theuser Charter



Article 1 – Our services


By displaying or sharing our QR codes or by allowing other means of connection, a company or an individual can benefit from all or part of the following TELOFIB Services provided by Bii Group SARL:

●Access all users and make a call;

●Proceed to the monetization of its calls;

●Disseminate advertising messages.


Please follow the instructions in the Application on how to use the Services provided. Use of our Services may be subject to service charges.

The user has several channels depending on the system of use that he uses in order to obtain the application.

  1. Account creation


To create an account on telofib, the user must have a variable telephone number by SMS, thanks to an automatically generated OTP code, which he will receive within a short period of 5 to 10 seconds.


In case the user does not validate the OTP code received, he is considered as an unregistered user. This does not grant him any right to claim any deletion of data.


Misuse or abuse of the function may lead Bii Group to initiate legal proceedings against this user who has acted in violation of the rules defined in these conditions of use, in the confidentiality policy or the TELOFIB user charter.


  1. Account Verification


  • Creation of private account


The user must fill in the following information:

Profile photo, Last name, First name, Email address, Nickname, Bio, Social status, Country of residence, Nationality, Language spoken, Type of ID, Type of ID, ID number, Date coin expiration, account display type, contact.


The user, after having filled in the previously defined information, proceeds to add a means of payment which will also be used to deduct the amount defined by telofib in order to verify the user's account.


It is important to notify that the payment of this sum does not give full right to the user to decide on a deliberate self-use of the platform.


The user must comply with the rules and measures of use of the application. Failing this, he will be considered as a user to be sanctioned.


  • Business account creation


The user creating the account on behalf of a company is considered a legal representative of the latter.


For this purpose, it is requested to provide the following information:

Company Name, Acronym, Email Address, Biography, Industry, Country of Residence, Nationality of Manager or Director, Language Spoken, Trade Registry Number, Creation Date, Account View Type, Contact .


The user, after having filled in the previously defined information, proceeds to add a means of payment which will also be used to deduct the amount defined by telofib in order to verify the user's account.


It is important to notify that the payment of this sum does not give full right to the user to decide on a deliberate self-use of the platform.


The user must comply with the rule and measures indicative of use of the application. Failing this, he will be considered as a user to be sanctioned.


  1. Verified Account


The user who has provided the information necessary for his identification as an individual or company and added a valid means of payment used to pay the account verification fees, is considered an active user of the platform.


This title allows him to explore the full features of the application. By default, he is considered a standard user.


Recognition of his title or his importance within his community can allow him to be considered a VIP user.


  1. Profile modification


The user wishing to modify the information previously provided on his identification when creating an account can make changes according to his needs.

Therefore, we remain firm and relevant on the values necessary for a reliable community within the application. Thus, the user will have to keep the truthful information about his person up to date.


  1. Purchase of star or package


To make calls, the user will have to pay packages, stars or points necessary to establish communication with other users of the platform.


It is important to notify that points, stars or packages paid within the application can only be used inside the application.


It is important to also notify that any purchase made is non-refundable. The user is therefore asked to take this into account before clicking on the check mark to validate the purchase.


However, in case the user contacts his bank for any refund request with immediate effect, we will return 60% of the funds and we will automatically block the user's telofib account. This measure takes into account the fact that we could consider that the user has used a means of payment that does not belong to him. If this assumption proves to be true, we will proceed and a total ban of this account on our platform and could also initiate legal proceedings against the user concerned.

When adding payment methods, the user can obtain unlimited call bonuses depending on the add-on option he decides to choose.


Since fundraising systems are diverse and owned by multiple providers, they allow for real-time fundraising to provide a better experience for our users. Thus, they apply fees to cover the availability of their network.

Consequently, the user, by using Telofib, automatically accepts that the transaction fees will be invoiced according to the authorized volumes as mentioned below:

  1. Withdrawal method


As mentioned, telofib is a call monetization application. It is a principle that is based on already known consumption habits.


A user, before making calls on a mobile network, must necessarily buy mobile credit or data.


On telofib, the same principle applies except that unlike conventional networks, telofib integrates a sharing economy system which allows all users receiving calls to collect 50% of the costs incurred by the sender of the call.


This reversal runs and updates automatically after each call received. Thus, the user is credited to his account with the amount earned while waiting for the latter to reach the monthly or instantaneous quota.


When the user reaches the monthly or instantaneous quota, a transfer order is automatically created to the bank account entered by the user in the section: Settings > Withdrawal mode.


Telofib being the property of Bii Group SARL, it uses the regulatory agreements of the latter in order to have the necessary authorizations to ensure the routing of funds to the users' bank accounts.


These operations comply with agreements, conventions and regulations established with banks and institutions.


It is therefore important to notify that a withdrawal of fees (including fees and service charges) applies before depositing the amount due on the account.


They are illustrated as follows:


  • standard user


$100 - 35% = $65 - $2 = $63 + transaction fees


For $100 (excluding tax), a 35% discount applies to cover state fees and taxes. A deduction of $2 (Processing) applies to cover transaction costs.


  • VIP User


$100 - 35% = $65 - $2 = $63 - 5% = $59.85 + transaction fees


For $100 (excluding tax), a 35% discount applies to cover state fees and taxes. A deduction of $2 (Processing) applies to cover transaction costs.


Number: Operator fees (-5%) apply only to the VIP profile because these are the profiles that can constantly benefit from high-value financial inputs. Consequently, the operators stand surety in order to accompany them in all the steps necessary for their peace of mind.

  1. Change of ID


The user having access to his account can freely change the access identifiers to his account. He will have to confirm with the OTP code that he will receive via sms in order to validate his action.


Thus, for the next reconnection to the application, he will have to use this new telephone number.


  1. Currency change


The user in the use of the application can choose a preferential currency but will have to carry out all its transactions in an official currency, the dollars ($).


The choice of preferential currencies allows him to assess the value of the amount he will pay according to his local situation or according to the country of travel if it turns out that he is traveling.


These currencies are certified by Bloomberg, which also ensures the stability of currency conversions in order to guarantee reliable exchanges between the user, his bank, our platform and our fundraising partners.


  1. Account management


The user, in the use of the application, is aware that the latter is maintained by teams which are responsible for the regular control of the information systems in order to ensure the stability of the platform. Thus, to cover the costs, a withdrawal of 10 points applies monthly to all accounts with a balance greater than 20.


  1. Privacy

The user can decide to no longer receive notifications from the application. It is therefore important to notify that after deactivating this function, he will no longer receive the relevant alerts in order to offer him a full experience of appropriate use of the functions made available to him.

The user can decide to no longer be referenced in the contact search engine present within the application. His profile will therefore be invisible, only people with his QR code will be able to reach him easily.

The user can deactivate this feature which allows him to discover bargains, tips and other promotions by other users of the platform.

For reasons of discretion, the user can decide to deactivate this function which would allow him not to be identified by other users as being an available user (online).


13- Monetization


The user being responsible for his account, he takes the necessary measures to ensure the security of the latter. The definition of a withdrawal account for the receipt of balances is not subject to any particular constraint.


However, it is necessary to clarify the following points which are our responsibility:


When the user defines a withdrawal account and:


  1. The withdrawal account is declared invalid for transfers, due to an error in information, for example, the transfer order is then blocked, pending appeal to us.

  2. The withdrawal account is declared valid for transfers, the compliance of the information provided has been checked and validated. In this case he will receive his transfer

  3. User is marked as suspicious or potentially dangerous, his transfer order is automatically blocked until'he has recourse to our legal department, and that they produce supporting documents deemed satisfactory for the re-establishment of his transfer account.   5. The user is going through a specific situation known to the general public, and is unable to access his transfer account, his transfer orders will be temporarily blocked, until he sends us an appeal by email

  6. The user used forgery on the platform, he is banned from the platform.

  7. The user has lost access to his account, we completely disengage from any use that will be made of his account


NB: when the user does not define a withdrawal account. His account is then automatically blacklisted. He will not be able to receive any transfer even if winnings are attributed to him by the application.


  1. Advertising space


The user as an individual or company has this functionality in order to ensure the promotion of their talents or know-how to other users of the community.


This feature requires a payment that varies depending on the duration of the ad and the audience targeted by the user.


It is important to notify that the payment of this service does not give full right to the user to publish elements contrary to the established standards. In this case, his advertisement will be rejected and no refund will be made. If it turns out that the latter makes a forced refund with his bank, the account will be considered a usurper and that the means of payment used does not belong to him. The account will therefore be temporarily blocked and if it turns out that our doubts are true, the user will be permanently banned from the platform.


  1. Operators


An operator is a company or a sales representative who provides the relay between Bii Group and TELOFIB VIP users.

It is a company whose main objectives are to:

  • Maximize the number of VIP users in his area.

  • Follow the evolution of their consumption and the progress of their transactions

  • Encourage them to consume even more,

  • Listening to their concerns

  • Cultivate and maintain optimal relations with them.

  • Build loyalty

It is he who ensures the VIP status of users in his coverage area and notifies Bii Group.

The user during his handling of the application will have to make a choice between the languages made available to him.

When the user fills in information with names or pseudonyms that already exist, he is then automatically flagged for a duplicate, and therefore blocked for control. He must then follow the procedure available on kyc.telofib.com, to unblock his account.


When he passes the kyc.telofib.com protocol, his account is restored, otherwise he is declared a counterfeiter and his account remains blocked. He then has 3 months to file an appeal with our legal department. After this time, the account is banned from the platform.


  • Permanently blocked or banned


The user is permanently blocked or banned, when he is considered a usurper (identity or other) or is a repeat offender.

1 - Calls


1st case: User A. initiates the call and user B is in the application


  • The signal lasts approximately 60 seconds

  • The duration of the call depends on the points in balance at the user level

  • Calls have no impact on mobile temperature (Android or iOS support)


2nd case: User A. initiates the call and user B has the application in the background


3rd case: User A. initiates the call and user B has the application closed


4th case: User A and B are on appeal, and a user C is trying to call A or B


5th case: User A. initiates the call and user B or C is not connected to the application


6th case: User A. launches the call to user B (vip). 7 min later, User A. launches the call again to User B (vip deactivated).


7th case: User A. initiates the call to User B temporarily or permanently blocked.


When user B or C is not logged into the application. User A cannot reach them and will receive a confirmation of their unavailability.


2 - Penalties


  • The standard user can become a VIP when the OLV of his country confirms his notoriety in writing to the Business team.

  • The VIP user can return to the standard profile when several complaints are made against him and the latter does not try to improve things.

  • The user whose account is temporarily blocked will have to wait 24 hours to recover his account. This penalty involves the loss of his call credit balance and the loss of his earnings before creating a transfer order.

  • The user whose account is permanently banned cannot return to our platform with the same identifiers. He can, however, contest the decision with an OLV who will inform the legal department of telofib in writing. A letter mentioning the good faith of the user and the resolutions taken to no longer be banned from the platform.

4 - Telofib being a property of Bii Group Sarl, the latter affirms and reaffirms that it cannot have put in place a bug bounty program aimed at encouraging users to use the platforms in the opposite way in order to detect bugs.


However, Bii Group Sarl remains open to all bug reports that a user may encounter when using the application on their mobile or tablet.


If it turns out that a user decides to study and demonstrate the application in order to take control over one of the systems embedded in the application, we may take legal action against him by providing the services competent state authorities all information concerning him, for the purposes of legal proceedings.


Any user who clicked on the checkmark “acceptof the prethis note of the conditions of use thus affirms that it has no legal impediment to this effect and is deemed to have accepted all the terms of its content and undertakes to scrupulously respect them under penalty of the sanctions provided for therein and without prejudice to other legal sanctions which could be taken against him in the event of accomplishment by him, directly or indirectly, of prohibited acts, whatever his origin, his age, his ethnicity, his race, his sex and his religion.


5-You agree to use the Telofib Application and the Services fairly, in accordance with their purpose, the applicable legal and regulatory provisions, the T&Cs, confidentiality conditions, and the user charter.


As such, you undertake in particular not to:

  • CReuse fictitious profiles or use the User Account of others;

  • Providing inaccurate information in the Application's data collection forms and not regularly updating your User Account information;

  • Distribute dataees, information or content on the Application contrary to the laws and reregulations in force, public order or good morals;

  • Resend or creer links other than those authorized by our application, to any content or information without our express consentes,ecrit and prealable;

  • Use any information, content or dataee on the Application to provide a service that we deem, in our sole discretion, to be competitive with the Application;

  • Sell,echange or myetize any other information, content or dataee on the Application or the Services without our consentecrit foreexpres;

  • Dereverse engineer, decompile, disassemble, decipher or otherwise attempt to obtain the source code of any proprietary materials used to provide all or any part of the Services on the Application;

  • Use any manual or automated software or devicee, robot or other means to access, explore, retrieve or index any page of the Application;

  • Endanger or attempt to endanger the securityeof our sites or applications, including attempts to monitor, analyze or test the vulnerabilityereliability of any system or network or breach of security or authentication measures without prior express permission;

  • Infringe or use any of our proprietary rightseyoueintellectual;

  • Simulate the appearance or operation of our sites or applications, for example by using a mirror effect;

  • Disturb or interfereeer directly or indirectly with the Application or the Services, or impose a disproportionate burdenee on the Application's infrastructure or attempt to transmit or activate computer viruses through or on the Application.


We reserve the right to restrict, suspend, modify, replace, refuse access to or delete, at our discretion and without notice, your User Account in the event of any use of the Services and/or the Application contrary to the T&Cs. You will be solely responsible for any damage that may result from any breach of the commitments listed above and you will be prosecuted for any action or damage that may result.


6-The Application contains a module for broadcasting advertising messages that allow users to publish, submit, display or transmit content to TELOFIB users or other persons.


Any content you post through the Application will be considered non-confidential and non-proprietary.


By posting an advertisement on the Application, you grant us, our affiliates and service providers, and each of their respective licensees, successors and assigns the right to use, reproduce, modify, perform, display, distribute and otherwise disclose to third parties any such material for any purpose. You represent and warrant that:

  • You own or control all of the rights to the goods or services offered by you or have a license to do so;

  • All your advertisements comply with these T&Cs;

  • You understand and acknowledge that you are responsible for any advertising messages you submit, and that you, and not Bii Group or its affiliates and other partners, have sole responsibility for such content.


We are not responsible or liable to any third party for the content or accuracy of advertisements posted by you or any other user of the Application.


7-We take complaints of any infringement seriously. We will respond to notices of alleged infringement under applicable laws and the application's terms of use approved by you.


If you believe that elements accessible on or from the Application infringe your rights under applicable law, or the TELOFIB user charter, you can request the deletion of the account of the third party in question, by sending an email to the address[email protected] 


Article 2 - Intellectual property 

2.1. Our rights

We own all rights, including intellectual property rights, and permissions to all content of the Application and Services, including designs, text, graphics, images, photographs, illustrations, visuals, videos, information, logos, trademarks, designs, button icons, software, databases, audio files and others.


We grant you a limited, revocable, non-exclusive, non-transferable and strictly personal right of access to our Telofib Application and our Services. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, upload, store or transmit any material related to the Application or the Services.


You acknowledge that the use of the Services and the functionalities of the Application does not authorize you to claim any intellectual property right of any kind whatsoever over all or part of them, no assignment or license being granted to you. beyond the right of use provided for herein. Our name, the term "Bii Group", and the name of the application "TELOFIB», our logo and all related names, logos, product and service names, designs and slogans are trademarks of Bii Group or its affiliates or licensors.


You must not use these marks without our prior written permission. All other names, logos, product and service names, designs and slogans found in the Application or the Services are the trademarks of their respective owners.


Any use of all or part of the aforementioned elements, without our express, prior and written authorization and/or that of the Establishments, is strictly prohibited, under penalty of criminal and civil proceedings, subject to other provisions provided for by law and regulations. in force.


2.2. Your rights 

You have the option of publishing advertising messages on the Application. In the event that your advertising content is likely to be protected by an intellectual property right, you guarantee that you hold the rights or have the necessary authorizations.


You authorize Bii Group to reproduce and communicate to the public your opinions on all media (including digital - including our website (https://www.telofib.com/), our social networks and our Application - or paper, on our promotional materials - including our posters, flyers, etc.), only for promotional and informative purposes, for the whole world and for the entire duration of the protection of the right of intellectual property concerned.


Article 3- Liability 

3.1. The conditions for making calls and monetization areunder the sole responsibility of the user.


We only intervene on a technical basis in the context of your use of the Services and the Application and will in no case act as a contacting agent, as an employer or guarantor for a user and/or as a guarantor for YOU.


You will be solely responsible for any consequences resulting from the use of our services, in compliance with the T&Cs and other applicable legal and regulatory conditions.


We cannot be held responsible, in particular, for any damage caused to you by the products or services offered by your advertisements or for any damage resulting from your fault, or from an event attributable to a third party or to a case of force majeure. .


3.2.You are solely responsible for the consequences of your use of the Application and our Services. It is your responsibility to ensure that your use of the Application and our Services complies with the legal and regulatory provisions in force as well as with the T&Cs.


We give you no guarantee in this respect. You are also solely responsible for the advertising messages that you may leave on our Application.


You release us from any action, claim, condemnation or expulsion relating to your use of the Application and/or the Services, for any reason whatsoever, in particular on the basis of infringement of the rights of third parties or unfair competition. , in any country.


In such a case, you agree to provide any assistance necessary for our defense. Further, you agree to bear the full cost of any proceeding and judgment rendered against us, and all costs, expenses and attorneys' fees that may result to us.

3.3You are reminded that the messages you post are public and communicated to other users of the Application, which you accept.


3.4In any event, we shall not be liable for any indirect or consequential loss or damage suffered by you or any third party, including, without limitation, any loss of profit, inaccuracy or corruption of files or data or loss of opportunity in connection with the TOS, on any basis whatsoever.


3.5We decline all responsibility in the event of delay in the execution or non-execution of the T&Cs justified by a case of force majeure, as defined by the applicable laws.


3.6Finally, you are aware of technical hazards and access interruptions that may occur on the Application and more generally related to the Internet. Consequently, we cannot be held responsible for the unavailability or slowdown of the Services and/or the Application.

The Application is created, updated, managed and published by Bii Group SARL represented by Mrs QUENUM Bernice, in her capacity as CEO and by Mr. Loïc DELEKE in his capacity as CTO.

Section 6- Applicable law - Competent jurisdiction - Settlement of disputes


6.1. These Conditions are exclusively governed by and interpreted in accordance with the laws of the Republic of Côte d'Ivoire.


6.2.In the event of any disagreement, dispute or claim relating to or relating to these T&Cs, including, without limitation, their formation, validity, interpretation, execution and/or resolution, you and we undertake to seek in good faith an amicable solution.
